AI Output & Intellectual Property Policy

This AI Output & Intellectual Property Policy forms part of the Terms of Service governing the LDplace platform, which is owned and operated by TNWOIH LLC ("LDplace", "we", "our", or "us").

1. AI-assisted services

LDplace uses third-party generative artificial intelligence models and related automated systems to create visual and textual content.

AI-assisted services may include:

  • Logo concepts and logo revisions;
  • Social media captions;
  • Hashtags and calls to action;
  • Promotional images;
  • Daily social media posts;
  • Weekly and monthly content plans;
  • Content calendars and publishing recommendations; and
  • Other branding, design and marketing outputs introduced through the Services.

AI-generated outputs are creative concepts intended to assist branding, design and marketing activities. They are not legal opinions, trademark searches, copyright analyses, advertising-law reviews, factual guarantees or assurances of originality, accuracy, exclusivity, registrability or commercial suitability.

2. Similarity, originality and uniqueness

Generative AI models may create outputs that are similar or identical to existing designs, text, images, advertising concepts or outputs generated for other users.

We do not offer exclusive model training, exclusive prompts, exclusive visual concepts or exclusive content-generation systems unless separately agreed in a written contract signed by LDplace.

Similar or identical outputs may be generated:

  • For other LDplace customers;
  • By other AI providers or software platforms;
  • By independent designers, writers or marketers;
  • From similar business descriptions, prompts or reference materials; or
  • Without either party having copied the other.

LDplace does not guarantee that any generated logo, caption, slogan, image, campaign concept, content calendar or other output is original, unique or exclusive.

3. Accuracy and factual reliability

AI-generated content may contain inaccurate, incomplete, outdated, misleading, culturally inappropriate or fabricated information.

You must verify all generated content before use, including:

  • Business names and spelling;
  • Product and service descriptions;
  • Prices, discounts and promotional conditions;
  • Event dates, times and locations;
  • Website addresses and contact information;
  • Translations and localized wording;
  • Testimonials, statistics and factual statements;
  • Health, financial, legal or regulated claims; and
  • Statements about performance, safety, guarantees or expected results.

Generation of an output does not mean that LDplace has verified, approved or endorsed its accuracy.

4. Trademark and legal clearance

Before using a logo, brand name, slogan, promotional image, campaign concept or other generated output commercially, we strongly recommend conducting appropriate legal and intellectual property searches in every country and market where you intend to use it.

These searches may include:

  • Trademark searches;
  • Copyright and design-right searches;
  • Company-name and business-registration searches;
  • Domain-name searches;
  • Social media username searches;
  • Advertising and consumer-protection review; and
  • Industry-specific regulatory review.

LDplace does not conduct trademark clearance, copyright clearance, design-right clearance, advertising-law review or other legal due diligence.

We do not guarantee that any generated output is available for commercial use, legally compliant, eligible for registration or free from third-party rights.

5. Rights in delivered outputs

Subject to full payment of all applicable fees and compliance with the Terms of Service, you may use final delivered outputs created for your request for lawful personal and commercial purposes.

This permission may apply to:

  • Final delivered logos;
  • Captions and calls to action;
  • Hashtags and campaign wording;
  • Promotional images;
  • Daily social media posts;
  • Weekly and monthly content plans; and
  • Other final outputs expressly included in the purchased service.

To the extent that LDplace owns transferable rights in a final delivered output created specifically for you, and subject to full payment, LDplace assigns to you those rights that it is legally able to assign.

This assignment does not include:

  • LDplace software or source code;
  • The LDplace website or platform;
  • AI models or model weights;
  • Prompts, system instructions or prompt libraries;
  • Templates, workflows and generation methods;
  • Moderation and security systems;
  • Trade secrets and internal business processes;
  • Third-party software, models or intellectual property; or
  • Any pre-existing intellectual property owned by LDplace or another party.

Nothing in this Policy transfers ownership of LDplace's underlying technology, proprietary systems or pre-existing intellectual property.

6. Copyright status of AI-generated outputs

Copyright laws concerning AI-generated works vary between jurisdictions and continue to develop.

An output that is generated primarily or entirely by artificial intelligence may not qualify for copyright protection in some countries. Copyright eligibility may depend on factors such as the level of human authorship, selection, arrangement, editing or creative contribution.

LDplace does not represent or warrant that:

  • An output is protected by copyright;
  • You will be recognized as its legal author;
  • Copyright registration will be accepted;
  • You will have exclusive rights in the output; or
  • You will be able to prevent others from using similar material.

You should obtain professional legal advice where copyright ownership or registration is commercially important.

7. Trademark rights

Use of a generated logo, name, slogan or design does not automatically create registered trademark rights.

Trademark rights may depend on registration, actual commercial use, distinctiveness, geographic territory, product or service classifications and the existence of earlier rights.

LDplace does not guarantee that:

  • A generated logo or name is distinctive;
  • A trademark application will be accepted;
  • No confusingly similar mark already exists;
  • A generated output can be used in every country or industry; or
  • Your use will not be challenged by a third party.

You are solely responsible for conducting appropriate trademark clearance and obtaining any registrations you require.

8. Social media content and platform use

Generated social media content may include captions, hashtags, promotional images, campaign themes, calls to action, content calendars and suggested publication platforms or dates.

You are responsible for reviewing, approving, editing and publishing all social media content.

You must ensure that published content complies with:

  • The rules and terms of the relevant social media platform;
  • Advertising and consumer-protection laws;
  • Disclosure requirements for sponsored or AI-generated content;
  • Intellectual property, privacy and publicity rights;
  • Industry-specific advertising restrictions; and
  • All other laws applicable to your business and audience.

LDplace does not guarantee platform approval, reach, engagement, followers, sales, conversions or any other marketing result.

9. Brand Profiles and customer information

LDplace may use information stored in your Brand Profile to personalize future outputs.

This information may include your company name, industry, website, products, services, target audience, brand voice, preferred colours, promotions, events, languages and social media platforms.

You are responsible for ensuring that Brand Profile information is accurate, current and lawful.

LDplace is not responsible for inaccurate or inappropriate outputs caused by incomplete, false, outdated or misleading information supplied by you.

10. Human review

You must carefully review every generated output before commercial use or publication.

For logos and visual assets, review should include:

  • Spelling and typography;
  • Geometry and visual quality;
  • Colours and accessibility;
  • Cultural meaning and unintended symbols;
  • Similarity to existing brands or protected designs;
  • Suitability for printing, signage and digital use; and
  • Compliance with applicable intellectual property laws.

For captions, posts and content plans, review should include:

  • Grammar, spelling and translations;
  • Factual accuracy;
  • Prices, promotions and offer conditions;
  • Dates, locations and contact details;
  • Advertising claims and required disclosures;
  • Appropriateness for the intended audience;
  • Platform-specific requirements; and
  • Legal and regulatory compliance.

For important branding, advertising or regulated commercial use, we recommend review by qualified designers, marketers, translators, legal advisers or other appropriate professionals.

11. Inputs, uploads and reference materials

You retain any rights that you lawfully hold in content submitted to LDplace.

You may upload or submit content only when you own it or have all permissions, licenses and legal authority required to use it for AI processing.

You must not submit:

  • Copyrighted images or artwork without authorization;
  • Protected logos, characters or designs for direct imitation;
  • Confidential information that you are not permitted to disclose;
  • Private images or personal information without lawful authority;
  • Stolen, scraped or unlawfully obtained materials;
  • Content that infringes privacy, publicity or intellectual property rights; or
  • Materials that violate the Acceptable Use Policy.

You are solely responsible for claims arising from content, prompts, files or reference materials that you submit.

12. Style references and imitation requests

You may provide general creative direction, such as modern, minimalist, playful, professional, geometric or vintage.

You may not request direct copying or misleading imitation of:

  • A protected company logo or visual identity;
  • A copyrighted character, artwork or design;
  • A living artist's distinctive work in a manner that infringes rights or falsely implies authorship;
  • A recognizable advertising campaign;
  • Official government, professional or certification marks; or
  • Any content intended to confuse customers regarding affiliation, sponsorship or origin.

LDplace may reject or modify requests that create an unacceptable risk of infringement, deception or provider-policy violation.

13. Third-party intellectual property

Generated outputs may contain elements, concepts or combinations that resemble third-party intellectual property.

Third-party trademarks, images, fonts, names, products or cultural references remain the property of their respective owners.

Nothing in a generated output grants you rights in third-party intellectual property, and no generated output should be interpreted as authorization from a third-party rights holder.

14. Provider terms and restrictions

LDplace relies on third-party AI providers and other service providers to generate and deliver outputs.

Your use of generated outputs may be subject to:

  • Applicable provider terms;
  • Provider acceptable-use policies;
  • Technical and moderation restrictions;
  • Applicable open-source or third-party licenses; and
  • Restrictions imposed by law or social media platforms.

We may refuse, restrict or discontinue a generation where necessary to comply with provider rules, legal obligations, intellectual property concerns or platform safety requirements.

15. Provider and model changes

We may change AI providers, models, prompts, workflows, moderation systems, storage processes, quality settings, pricing or technical methods where reasonably necessary to maintain, improve, secure or expand the Services.

Different providers or model versions may produce materially different outputs, even when the same instructions are used.

LDplace does not guarantee that a particular provider, model, quality setting or generation method will remain available.

16. Regeneration and revisions

A regeneration or revision may produce an output that differs substantially from an earlier version.

LDplace does not guarantee that a regeneration will preserve every element of a previous output unless the applicable service expressly supports controlled editing.

Revisions and regenerations do not guarantee:

  • Exact compliance with every instruction;
  • Preservation of all visual or textual elements;
  • Improvement according to subjective preference;
  • Trademark or copyright eligibility; or
  • Uniqueness or exclusivity.

17. Storage and availability of outputs

Generated outputs may be stored in your authenticated LDplace workspace to provide access, downloads, generation history, retries and support.

You are responsible for downloading and maintaining your own copies of outputs that you intend to use.

We do not guarantee permanent storage or indefinite availability of generated files. Outputs may be removed following account closure, policy enforcement, legal requests, storage changes or expiration rules disclosed through the Services.

18. No endorsement

Generation, delivery or storage of an output does not mean that LDplace endorses:

  • The customer or business using it;
  • The accuracy of any statement contained in it;
  • The legality of the customer's intended use;
  • The products, services or promotions advertised; or
  • The suitability of the output for any particular market or audience.

19. Customer responsibility

You remain solely responsible for:

  • Selecting and approving outputs;
  • Editing content where necessary;
  • Conducting legal and commercial due diligence;
  • Obtaining trademark, copyright or regulatory clearance;
  • Reviewing factual accuracy;
  • Publishing and distributing content;
  • Complying with platform and advertising rules; and
  • Responding to any third-party claims arising from your use.

You must stop using an output if you become aware that it is unlawful, misleading, infringing or otherwise unsuitable for use.

20. Infringement complaints

If you believe that an output or submitted material infringes your intellectual property rights, contact us through the Contact page or email support@ldplace.com.

Your notice should include:

  • Your name and contact details;
  • Identification of the protected work or right;
  • Identification of the allegedly infringing material;
  • The location of the material within LDplace, where available;
  • An explanation of the alleged infringement;
  • A statement that the information provided is accurate; and
  • Evidence that you are the rights holder or authorized to act for the rights holder.

We may request additional information, restrict access to disputed content, preserve relevant records or take other action permitted by law and our policies.

21. Limitation of liability

To the fullest extent permitted by applicable law, TNWOIH LLC is not liable for:

  • Trademark refusals or registration disputes;
  • Copyright, design-right or brand conflicts;
  • Claims that an output is similar to existing material;
  • Infringement claims arising from customer inputs or use;
  • Inaccurate, misleading or unlawful published content;
  • Social media platform rejection, removal or account penalties;
  • Loss of business, profits, customers, goodwill or reputation;
  • Advertising or production expenses;
  • Failure to obtain expected marketing results; or
  • Other damages arising from the use, publication or registration of AI-generated outputs.

Customers remain solely responsible for conducting appropriate legal, factual, commercial, regulatory and intellectual property due diligence before adopting, publishing or registering any generated output.

Nothing in this Policy limits liability or rights that cannot lawfully be excluded under applicable law.

22. Changes to this Policy

We may update this AI Output & Intellectual Property Policy from time to time to reflect changes to the Services, AI providers, intellectual property laws, platform rules or business practices.

The latest version will be posted on this page together with the revised "Last updated" date.

Material changes will generally apply prospectively unless immediate application is reasonably necessary to comply with law, provider requirements, third-party rights or platform safety obligations.
