Terms of Service

These Terms govern access to LDplace, purchases of services, Service Credits, AI-assisted logo generation, AI-assisted social media content generation and related digital services.
1. Who we are
These Terms are an agreement between you and TNWOIH LLC, a Wyoming Limited Liability Company that owns and operates the LDplace platform (“LDplace,” “we,” “our,” or “us”), registered at 30 North Gould Street, Suite R, Sheridan, WY 82801, USA. Contact us through the Contact page or email us at support@ldplace.com.
2. Eligibility and accounts
You must have legal capacity to enter into a binding agreement. You are responsible for providing accurate registration information, maintaining the security of your account and credentials, and all activity performed through your account. Business users represent that they are authorized to act for their organization.
You must promptly notify us if you believe your account has been accessed without authorization. We may require identity, billing or account verification where reasonably necessary to prevent fraud, protect the platform or comply with law.
3. Service description and digital delivery
LDplace provides AI-assisted tools that allow users to create brand briefs, generate logo concepts and create social media content based on information supplied by the user.
Available services may include:
- AI-generated logo concepts
- Logo revisions and additional logo services
- Social media captions, hashtags and calls to action
- AI-generated promotional images
- Complete daily social media posts
- Weekly and monthly content plans
- Content calendars containing multiple planned posts
- Other AI-assisted branding, design and marketing services that we may introduce
Outputs are digitally delivered to your authenticated LDplace workspace or otherwise made available electronically. Processing times are estimates and may vary due to provider availability, moderation, request complexity, queue volume, maintenance or technical issues.
Weekly and monthly content plans may be processed as multiple separate tasks, including one or more text-generation tasks and individual image-generation tasks. Different parts of the same request may therefore complete at different times.
4. Brand Profiles
LDplace may allow you to create and maintain a Brand Profile containing information used to personalize future AI-generated content.
A Brand Profile may include:
- Company name, industry and website
- Business description
- Products and services
- Target audience
- Brand voice, style and preferred colours
- Current promotions
- Upcoming events
- Preferred languages and social media platforms
You are responsible for ensuring that Brand Profile information is accurate, current and lawful. You understand that inaccurate or outdated information may result in inaccurate, inappropriate or outdated outputs.
5. Service Credits
“Service Credits” are a closed-loop accounting unit that can only be used to purchase LDplace’s own services. They are not a deposit account, electronic money, cryptocurrency or general payment instrument.
Service Credits cannot be transferred between users, withdrawn, sold, exchanged or redeemed for cash, except where a refund is required by applicable law or expressly provided in our Refund & Cancellation Policy.
Purchased Service Credits do not expire while the account remains active, unless a different lawful rule is prominently disclosed before purchase.
Promotional or bonus Service Credits may be provided with qualifying purchases or campaigns. Promotional Credits may be subject to additional conditions and are generally not cash-refundable unless required by applicable law.
Unless otherwise displayed before purchase, the standard conversion is:
$1 USD = 5 Service Credits.
6. Pricing, reservations and authorization
The Service Credit price applicable to a service is displayed before you submit the request. Different services may use fixed prices, usage-based prices or package prices.
AI Social Content services may be offered at fixed Service Credit prices, including prices for captions, promotional images, daily posts, weekly plans and monthly plans. The current price and included deliverables are displayed before confirmation.
Logo services may be offered through fixed packages, usage-based pricing or another pricing method disclosed before purchase. Where usage-based pricing applies, the final pre-tax charge may be calculated using provider usage and the applicable versioned provider price table.
Before processing begins, we may reserve the maximum displayed number of Service Credits from your available balance. Reserved Credits are temporarily unavailable for other purchases.
When the requested service is successfully completed, the applicable amount is settled against the reservation. Any unused portion of the reservation is released back to your available balance.
We will not charge more than the maximum amount displayed before confirmation without obtaining a new authorization from you.
7. Taxes
Prices may exclude sales tax, VAT, GST or similar indirect taxes. Where we are legally required to collect tax, the applicable amount is calculated and displayed before payment.
Business customers are responsible for providing accurate billing, business and tax information and for meeting any tax obligations that apply to their use of the Services.
8. Payments across our websites
Card and other payment methods are processed by Stripe or another disclosed payment provider. The same legal entity identified in these Terms is the merchant of record for LDplace and every registered business website that uses our centralized checkout. A source website may send its internal customer and order identifiers so that we can reconcile the payment and return its status. These identifiers do not change the seller, funds recipient or applicable payment policies. We do not store full card numbers. A payment is treated as successful only after server-side confirmation from the payment provider.
9. AI outputs and intellectual property
AI systems can produce material that is inaccurate, incomplete, misleading, inappropriate, similar to existing material or similar to outputs generated for other users.
We do not promise that any output is original, exclusive, unique, protectable, registrable, factually accurate or free of third-party rights.
LDplace does not perform trademark, copyright, design-right, advertising-law or regulatory clearance. Before adopting or publishing an output commercially, you should conduct appropriate trademark, copyright, company-name, domain-name and other relevant searches. Professional legal or regulatory advice may also be appropriate depending on your intended use.
Your permitted use of outputs is subject to applicable law, these Terms, the Acceptable Use Policy, the AI Output & Intellectual Property Policy and relevant third-party provider terms.
Subject to full payment of all applicable fees, and except for our pre-existing intellectual property, platform software, AI systems, prompts, workflows, templates and other underlying technology, we assign to you any rights we are legally able to assign in final delivered outputs created specifically for your request.
You acknowledge that AI-generated content may not qualify for copyright protection in every jurisdiction and that similar or identical outputs may be generated for other users, by other AI systems or by independent third parties.
10. Logos and commercial use
You are solely responsible for determining whether a generated logo is suitable for personal or commercial use.
Before using or registering a generated logo, you are responsible for conducting trademark, copyright, company-name, design-right and other intellectual property clearance in all relevant countries, territories and product or service classes.
We do not guarantee that a generated logo can be registered as a trademark, protected by copyright or used without infringing third-party rights.
11. Social media content and publication responsibility
AI Social Content may include captions, hashtags, calls to action, promotional concepts, images, suggested publication dates, content calendars and recommendations for particular social media platforms.
Unless expressly stated otherwise, LDplace does not publish content directly to your social media accounts. You are responsible for reviewing, approving, scheduling and publishing all generated content.
Before publishing social media content, you must verify:
- Spelling, grammar and translations
- Prices, discounts and promotional conditions
- Product and service descriptions
- Event dates, times and locations
- Contact information and website addresses
- Health, financial, legal or regulated claims
- Testimonials, comparisons and factual statements
- Compliance with the rules of the relevant social media platform
- Compliance with applicable advertising, consumer protection and industry-specific laws
You are solely responsible for the final content you publish and for any consequences arising from your publication, campaign, offer or communication.
Platform recommendations, suggested publication times and content calendars are informational only. We do not guarantee reach, engagement, sales, followers, conversions, platform approval or other business results.
12. Customer content
You retain any rights you lawfully hold in content you submit, including business information, text, images, logos, products, promotions and reference materials.
You grant us a limited, worldwide, non-exclusive license to host, store, process, transmit, reproduce and modify your submitted content only as reasonably necessary to:
- Provide and operate the Services
- Create the outputs you request
- Maintain your Brand Profile
- Secure, troubleshoot and improve the platform
- Enforce our policies
- Comply with applicable law
You represent and warrant that you have all rights and permissions required to submit and use that content and that your submissions do not violate law, confidentiality obligations, privacy rights, publicity rights or third-party intellectual property rights.
13. Prohibited use
You must follow the Acceptable Use Policy and all applicable laws.
You may not use the Services to request, create, upload, distribute or promote:
- Infringing copies or misleading imitations of brands, logos or advertising campaigns
- Unauthorized use of copyrighted material, trademarks or protected designs
- Deceptive logos, false endorsements or impersonation
- Fraudulent, misleading or unlawful advertising
- False prices, promotions, claims, testimonials or product information
- Unauthorized depictions of individuals or misuse of personal information
- Illegal, harmful, abusive or discriminatory content
- Malicious code, phishing, fraud, payment abuse or attempts to compromise the platform
- Activity prohibited by our payment, hosting or AI providers
We may reject, moderate, suspend or remove requests or outputs that we reasonably believe violate these Terms, our policies, provider requirements or applicable law.
14. Refunds, failures, retries and cancellation
The Refund & Cancellation Policy forms part of these Terms.
If a generation fails because of a verified technical or provider error, reserved Service Credits will normally be released or reversed automatically.
Weekly and monthly plans may require multiple processing tasks. A request is generally treated as complete only when the required number of content items and images included in the purchased service have been processed.
If the overall generation fails before completion, reserved Service Credits will normally be restored according to the Refund & Cancellation Policy.
A failed generation may be eligible for retry. A retry may be treated as a new generation attempt and may require the applicable number of Service Credits to be available and reserved again.
Because our Services involve personalized digital content and immediate processing, cancellation and refunds are generally not available after generation has commenced or digital outputs have been delivered, except where required by applicable law or expressly provided in our Refund & Cancellation Policy.
Dissatisfaction with the style, wording, creative direction or subjective quality of a successfully completed AI-generated output does not by itself guarantee a refund.
15. Suspension and termination
We may restrict, suspend or terminate accounts for policy violations, suspected fraud, payment abuse, chargebacks, legal requirements, provider restrictions, security threats or conduct that may harm LDplace, our users or third parties.
You may request account closure through support. We will handle remaining purchased and promotional Service Credits in accordance with applicable law and the Refund & Cancellation Policy.
Termination does not remove any payment obligation, indemnity, intellectual property obligation, limitation of liability or other provision that by its nature should survive termination.
16. Third-party providers
LDplace relies on third-party providers for services that may include AI processing, payment processing, cloud hosting, data storage, email delivery, fraud prevention and security.
Your requests and submitted content may be transmitted to these providers where reasonably necessary to provide the Services.
Third-party providers may impose their own terms, technical limits, moderation systems, availability restrictions and acceptable-use requirements. We are not responsible for outages, delays, refusals, output limitations or changes caused by third-party providers that are outside our reasonable control.
17. Disclaimers
To the maximum extent permitted by law, the Services are provided on an “as available” and “as is” basis.
We do not guarantee:
- Uninterrupted or error-free operation
- Specific processing or delivery times
- Business, marketing or social media results
- Platform approval or continued availability of generated content
- Trademark registration or copyright protection
- Uniqueness, originality or exclusivity
- Factual accuracy or legal compliance of AI-generated outputs
- Fitness for a particular personal, commercial or regulatory purpose
- That outputs will meet your subjective expectations
Nothing in these Terms excludes warranties, rights or liability that cannot lawfully be excluded.
Delivery of a logo is deemed complete when the generated logo file becomes available for download within your account or is otherwise delivered electronically.
Delivery of social media content is deemed complete when the applicable captions, content items, plans or generated image files become available within your account or are otherwise delivered electronically.
18. Liability
To the fullest extent permitted by applicable law, TNWOIH LLC and its officers, directors, employees, contractors and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, including loss of profits, revenue, customers, business opportunity, goodwill, data or reputation, arising from or relating to the Services.
We are not responsible for claims, losses, platform penalties, advertising costs, customer complaints or regulatory action resulting from content that you publish without appropriate review.
Our total aggregate liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim during the twelve (12) months preceding the event giving rise to liability.
Nothing in these Terms limits liability that cannot lawfully be excluded or limited under applicable law.
19. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless TNWOIH LLC and its officers, directors, employees, contractors and affiliates from claims, losses, liabilities, costs and reasonable legal fees arising from:
- Your submitted content
- Your use or publication of generated outputs
- Your violation of these Terms or applicable law
- Your infringement of third-party intellectual property, privacy or publicity rights
- False, misleading or unlawful promotions, advertising or claims published by you
20. Governing law and disputes
These Terms shall be governed by the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
Where permitted by applicable law, any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Wyoming.
Nothing in this section limits mandatory consumer protection rights, jurisdictional rights or remedies that cannot legally be waived.
21. Changes
We may update these Terms prospectively to reflect changes to the Services, prices, providers, features, laws or business practices.
Material changes will be notified through the Service or by email where required. The version accepted for each payment or generation may be recorded.
The updated Terms will be posted on this page together with a revised “Last updated” date. Continued use of the Services after the effective date of the updated Terms constitutes acceptance of the revised Terms, except where additional consent is required by applicable law.
